1. Parties and Purpose
This Agreement is entered into by and between Caldwell International Consultants LLC, doing business as Gospel Music Mastery ("GMM"), a Pennsylvania limited liability company, and the undersigned student (hereinafter referred to as “Student”), collectively referred to as the “Parties.”
The purpose of this Agreement is to establish the legal relationship, expectations, and protections between the Parties as it pertains to musical instruction, educational resources, and related services provided via the GMM platform.
2. Enrollment and Payment Terms
The Student agrees and acknowledges that:

Enrollment grants access to lessons, materials, and services offered on the GMM platform, subject to timely payment of all fees.

Payment must be made in full or according to the subscription/payment plan selected.

Refunds, cancellations, or rescheduling are governed by GMM’s posted policies at the time of purchase.
- Failure to meet payment obligations may result in suspension or termination of platform access.
3. Assumption of Risk and Personal Responsibility
The Student accepts full responsibility for:

Ensuring that their internet connection, equipment, and learning environment are safe and functional.

Understanding that musical instruction involves effort, practice, and subjective outcomes, and that GMM does not guarantee any specific skill level or performance results.
4. Release of Liability and Indemnification
4.1 Waiver of Claims
To the fullest extent permitted by law, the Student waives, releases, and discharges GMM and its parent company, Caldwell International Consultants LLC, along with its officers, directors, employees, instructors, contractors, affiliates, agents, and successors, from any and all claims, liabilities, damages, losses, or causes of action arising out of or connected with:

Injuries (physical or emotional) sustained during lessons or practice.

Technical failures, interruptions, or loss of data.
-
Dissatisfaction with instruction, content, or teacher performance.
-
Unauthorized use of lesson recordings by the Student or third parties.
4.2 Indemnification

The Student agrees to defend, indemnify, and hold harmless GMM and Caldwell International Consultants LLC from any lawsuit, claim, or demand brought by third parties as a result of the Student’s actions, misuse of content, or violation of this Agreement.
5. Student Conduct and Behavior
The Student agrees to:

Treat instructors, staff, and fellow students with respect at all times.

Not engage in harassment, abuse, or disruptive behavior on the platform.

Follow all GMM community guidelines and instructions provided by instructors.

Obtain parental/guardian consent if under the age of 18.
6. Intellectual Property Protection
The Student acknowledges that:

All course materials, videos, and resources provided by GMM are the exclusive intellectual property of GMM and Caldwell International Consultants LLC.

Students may not copy, distribute, resell, or publicly share GMM materials without prior written permission.

Any violation of intellectual property rights may result in legal action and termination of access.
7. No Guarantee of Results
GMM makes no representation or guarantee regarding:

Student skill progression or mastery.
-
Performance opportunities, certifications, or employment outcomes.
-
Continuation of specific instructors or courses.
The Student understands that musical growth requires practice, commitment, and individual effort.
8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law provisions.

In the event of a dispute, the Parties agree to:

Attempt informal resolution through written communication.
-
If unresolved, proceed to binding arbitration in Philadelphia County, PA, pursuant to the rules of the American Arbitration Association.

Both Parties waive their right to trial by jury.
9. Electronic Signature and Acceptance
By electronically signing or submitting this agreement, the Student confirms:

They have read and fully understood the terms and conditions.

They are entering into this Agreement voluntarily and with full authority.

If under 18, a parent or guardian has reviewed and approved the Agreement on their behalf.
This Agreement shall be deemed fully enforceable as an electronic contract under the Uniform Electronic Transactions Act (UETA) and ESIGN Act.
