1. Parties and Purpose
This Agreement is entered into by and between Caldwell International Consultants LLC, doing business as Gospel Music Mastery ("GMM"), a Pennsylvania limited liability company, and the undersigned instructor (hereinafter referred to as “Instructor” or “Teacher”), collectively referred to as the “Parties.”
The purpose of this Agreement is to establish the legal relationship, expectations, and protections between the Parties as it pertains to musical instruction and related services provided via the GMM platform.
2. Independent Contractor Status
The Instructor agrees and acknowledges that:

They are performing services as an independent contractor and not an employee of GMM or Caldwell International Consultants LLC.

They are solely responsible for the payment of all federal, state, and local taxes, including self-employment tax.

They are not entitled to employee benefits such as health insurance, unemployment insurance, or workers’ compensation from GMM.
3. Assumption of Risk and Personal Responsibility
The Instructor accepts full responsibility for:

The safety, integrity, and professionalism of their lessons and communications with students.

Conducting themselves in accordance with local, state, and federal laws, as well as GMM’s community and ethical standards.

Acknowledging that the Instructor conducts all interactions at their own risk.
4. Release of Liability and Indemnification
The Instructor hereby agrees to the following:
4.1 Waiver of Claims
To the fullest extent permitted by law, the Instructor waives, releases, and discharges GMM and its parent company, Caldwell International Consultants LLC, along with its officers, directors, employees, contractors, affiliates, agents, and successors, from any and all claims, liabilities, damages, losses, or causes of action arising out of or connected with:

Criminal or inappropriate conduct

Personal injury or property damage

Alleged negligence
-
Breach of student trust or privacy
-
Use of copyrighted or unlicensed content
-
Technical failures or disputes related to GMM services
4.2 Indemnification

The Instructor agrees to defend, indemnify, and hold harmless GMM and Caldwell International Consultants LLC from any lawsuit, claim, or demand brought by third parties (including students, parents, or regulatory bodies) as a result of the Instructor’s actions or omissions.
5. Instructor Qualifications and Behavior
The Instructor confirms that:

They are legally authorized to provide musical instruction in the United States.

They have never been convicted of a felony or misdemeanor involving violence, fraud, abuse, harassment, or any other behavior deemed inappropriate for educational environments.

They will maintain a professional and respectful tone with all students, staff, and other instructors on the GMM platform.

They will report any known misconduct or safety issues immediately to GMM leadership.
6. Intellectual Property Protection

The Instructor may not copy, distribute, reverse-engineer, or misrepresent any content owned by GMM or Caldwell International Consultants LLC.

All lessons created by the Instructor for use on the GMM platform remain the intellectual property of the Instructor, unless otherwise contracted in writing.

Instructors agree not to use copyrighted music, materials, or media in their lessons unless they have the proper license or rights.
7. No Guarantee of Earnings or Employment
GMM makes no representation or guarantee regarding:
The Instructor understands this is a non-exclusive, at-will agreement, and GMM may revoke platform access at any time with or without cause.
8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law provisions.

In the event of a dispute, the Parties agree to:

Attempt informal resolution through written communication.

If unresolved, proceed to binding arbitration in Philadelphia County, PA, pursuant to the rules of the American Arbitration Association.

Both Parties waive their right to trial by jury.
9. Electronic Signature and Acceptance
By electronically signing or submitting this agreement, the Instructor confirms:

They have read and fully understood the terms and conditions.
-
They are entering into this Agreement voluntarily and with full authority.

This Agreement shall be deemed fully enforceable as an electronic contract under the Uniform Electronic Transactions Act (UETA) and ESIGN Act.
